These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and related services provided by Clinitech LLC, doing business as MedReport (“MedReport,” “we,” “us,” or “our”) (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
If you do not agree, do not use the Services.

1) Eligibility and Accounts
- Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services, unless we expressly permit otherwise in writing.
- Account Registration. You may need an account to access certain features. You agree to provide accurate information and keep it updated.
- Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account. Notify us immediately at hello@medreport.com if you suspect unauthorized access.
- Suspension/Termination. We may suspend or terminate your account or access to the Services if we reasonably believe you violated these Terms, used the Services unlawfully, or pose a security risk.
2) Medical Disclaimer (No Medical Advice)
- Informational Purposes Only. The Services may provide educational content, analytics, visualizations, and AI-assisted summaries related to your health information. MedReport does not provide medical advice, diagnosis, or treatment.
- Not a Substitute for Professional Care. Always seek the advice of a qualified healthcare professional with any questions regarding a medical condition or treatment. Do not disregard professional advice because of something you read or see in the Services.
- Emergencies. If you believe you are experiencing a medical emergency, call 911 (or your local emergency number) immediately.
- AI Outputs. Any AI-generated content may be incomplete, incorrect, or outdated and should be verified with a qualified professional.
3) The Services and Integrations
- Service Features. The Services may allow you to input, upload, store, analyze, and visualize information, including lab results, imaging data, symptoms, cycle tracking, medications, supplements, and other health-related data (“User Health Data”).
- Third-Party Integrations. The Services may integrate with third parties (e.g., laboratories, imaging providers, wearable platforms, payment processors). Those third parties have their own terms and policies. MedReport is not responsible for third-party services, content, or actions.
- Data Accuracy. You are responsible for confirming the accuracy of information you upload or input. MedReport does not guarantee that imported or integrated data is complete or accurate.
4) Your Content and Permissions
- Your Content. You retain ownership of content you submit, upload, or make available through the Services (including User Health Data and other information) (“User Content”).
- License to Operate the Services. You grant MedReport a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display User Content solely to provide, maintain, secure, and improve the Services and as otherwise described in our Privacy Policy.
- De-identified and Aggregated Data. We may create de-identified or aggregated data from User Content and use it for analytics, product improvement, research, and model improvement, as permitted by law and our Privacy Policy. De-identified/aggregated data is not intended to identify you.
- Permissions You Provide. If you authorize an integration or sharing function, you instruct us to access, import, export, or share relevant data with that third party as needed to perform the action you requested.
5) Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, or harmful activities.
- Attempt to gain unauthorized access to the Services, accounts, systems, or data.
- Interfere with the operation, security, or integrity of the Services.
- Reverse engineer, scrape, or extract data from the Services except as permitted by law or by an authorized feature.
- Upload malware or harmful code.
- Use the Services to violate privacy rights or disclose another person’s sensitive data without authorization.
- Use the Services to develop, train, or improve a competing product using unauthorized access, scraping, or bulk extraction.
6) Subscriptions, Fees, and Payments (If Applicable)
- Paid Features. Some features may require payment (subscriptions, add-ons, or one-time purchases).
- Billing. By purchasing a subscription, you authorize us (and our payment processor) to charge your payment method for recurring fees and applicable taxes. Billing periods and pricing will be shown at purchase.
- Trials and Promotions. Trial terms will be disclosed at sign-up. Unless stated otherwise, trials convert to paid subscriptions at the end of the trial period.
- Cancellations. You may cancel as described in your account settings or as otherwise provided at purchase. Cancellation typically takes effect at the end of the then-current billing period.
- Refunds. Fees are generally non-refundable unless required by law or otherwise stated at purchase.
- Price Changes. We may change pricing with advance notice as required by law. Changes generally take effect at the next billing cycle.
7) Feedback
If you provide suggestions, ideas, or feedback (“Feedback”), you grant MedReport a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use Feedback for any purpose without compensation to you.
8) Intellectual Property
- Our IP. The Services, including software, designs, text, graphics, trademarks, and other content (excluding User Content), are owned by MedReport or its licensors and are protected by law.
- Limited License. Subject to these Terms, MedReport grants you a limited, non-transferable, non-exclusive, revocable license to access and use the Services for your personal, non-commercial use (unless we expressly permit otherwise).
9) Privacy
Your use of the Services is subject to our Privacy Policy and, where applicable, our Consumer Health Data Privacy Policy. Those policies explain how we collect, use, and disclose information.
10) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AS-IS. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
- NO WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- NO GUARANTEE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT AI OUTPUTS WILL BE CORRECT OR RELIABLE.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- INDIRECT DAMAGES. MEDREPORT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
- CAP. MEDREPORT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID MEDREPORT FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12) Indemnification
You agree to defend, indemnify, and hold harmless MedReport and its officers, directors, employees, contractors, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.
13) Term and Termination
- Term. These Terms apply while you use the Services.
- Termination by You. You may stop using the Services at any time and may request account deletion as described in our Privacy Policy.
- Termination by Us. We may suspend or terminate your access as described in Section 1.
- Effect of Termination. Upon termination, your right to use the Services ends. Certain provisions survive termination, including IP, disclaimers, limitation of liability, indemnification, dispute resolution, and other terms that by their nature should survive.
14) Dispute Resolution; Arbitration; Class Action Waiver (Optional / Recommended Clause)
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights.
- Informal Resolution First. Before filing a claim, you agree to contact us at hello@medreport.com and attempt to resolve the dispute informally.
- Arbitration. Except for small claims court matters and certain injunctive relief claims, you and MedReport agree to resolve disputes through binding arbitration.
- Class Action Waiver. You and MedReport agree to bring claims only on an individual basis and not as a plaintiff or class member in any class, collective, or representative action.
- Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing privacy@medreport.com with your name and a clear opt-out statement.
(Note: arbitration clauses are powerful but should be reviewed by counsel for enforceability and for your business model.)
15) Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. If arbitration does not apply, disputes will be brought in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.
16) Changes to the Services or Terms
We may modify the Services or these Terms from time to time. If changes are material, we may provide notice (e.g., in-app notice or email). Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
17) Miscellaneous
- Entire Agreement. These Terms, plus any additional terms you accept (e.g., subscription terms) and the Privacy Policy, form the entire agreement between you and MedReport regarding the Services.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No Waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
